Terms of Business
Professional terms for the provision of accountancy and related services.
1. About these terms
These Terms of Business set out the basis on which Vincent Financials provides services to clients. Specific engagements may include additional terms in an engagement letter and/or proposal. If there is a conflict, the engagement letter terms will take precedence for that engagement.
2. Scope of services
We will agree the scope of work with you in writing. Unless expressly agreed, our services do not include legal advice, financial advice, or regulated investment business.
3. Client responsibilities
- You are responsible for providing complete and accurate information in a timely manner.
- You are responsible for maintaining adequate records and internal controls.
- You are responsible for decisions taken, including approving filings and submissions where required.
4. Fees and payment
Fees are agreed with you in writing. Unless otherwise stated, fees are payable in accordance with the invoice terms. We do not provide “gimmick” pricing; we agree scope and fees based on the work required.
5. Confidentiality
We will keep your information confidential, subject to legal and regulatory obligations and any disclosures required to deliver the services (for example, to HMRC or Companies House where you instruct us to file).
6. Limitation of liability
Our liability is limited to the extent permitted by law. We are not responsible for losses arising from incomplete, inaccurate, or late information provided by you, or for decisions taken by you. We do not accept liability for indirect or consequential losses.
7. Complaints procedure
If you have a complaint, please contact us promptly with details. We will acknowledge your complaint and investigate, and we will aim to resolve matters fairly and quickly.
8. Data protection
We process personal data in accordance with our Privacy Policy.
9. Governing law
These Terms of Business are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.
